Terms and Conditions

Effective Date: October 15, 2026

These Terms and Conditions (“Terms”) govern your access to and use of Pro Party Entertainment, including propartyentertainment.com and the booking, scheduling, customer management, invoicing, payment-management, team-management, communication, and related software services offered through the platform (collectively, the “Service”).

The Service is operated by RAY ACQ LLC, a Texas limited liability company doing business as Pro Party Entertainment (“Pro Party Entertainment,” “PPE,” “we,” “us,” or “our”).

By creating an account, purchasing a subscription, or using the Service, you agree to these Terms.

1. About Pro Party Entertainment

Pro Party Entertainment is a software platform designed to help entertainers, event professionals, and event-based businesses manage bookings, customers, schedules, invoices, payments, team members, and related business operations.

PPE provides software tools only. PPE is not a party to agreements between a business using PPE and that business’s customers, employees, independent contractors, artists, vendors, or other third parties.

Each business using PPE remains responsible for its own services, pricing, contracts, personnel, customers, taxes, insurance, legal obligations, and business practices.

2. Account Eligibility and Responsibility

You must provide accurate and current information when creating and maintaining an account.

You are responsible for:

You may not use PPE for fraudulent, unlawful, abusive, deceptive, or unauthorized purposes.

3. Free and Paid Plans

PPE may offer a free Team Member account and paid business plans.

Current paid business plans include:

Applicable taxes may be added to these prices.

Features vary by plan. Current features and plan availability are described on PPE’s Plans or Pricing page.

A Team Member account may participate in teams and use available participant-facing features without purchasing a business subscription.

PPE may modify features, plan structures, or pricing from time to time. Changes affecting existing paid subscriptions will be handled in accordance with the billing terms presented to the customer and applicable law.

4. Paddle and Subscription Billing

Paddle is the Merchant of Record and seller of record for Pro Party Entertainment software subscriptions.

Paddle processes subscription purchases, charges applicable taxes, issues receipts and invoices, and provides related payment services.

Paddle does not operate or provide the Pro Party Entertainment software or services. RAY ACQ LLC provides and supports Pro Party Entertainment.

By purchasing a paid PPE subscription, you authorize Paddle to process your payment according to the subscription terms displayed at checkout. You may also be subject to Paddle’s applicable buyer terms and privacy practices.

The total amount due, including applicable tax, will be displayed through Paddle before you complete a purchase.

5. Automatic Renewal

Unless cancelled, paid monthly subscriptions automatically renew at the then-applicable monthly subscription price, plus applicable tax.

By purchasing a recurring subscription, you authorize Paddle to charge the payment method associated with your subscription at each renewal.

Your PPE billing area may display your current paid plan, renewal date, cancellation status, and other available billing information.

6. Upgrades

When you upgrade to a higher paid plan, the upgrade may take effect after Paddle successfully confirms the subscription change.

Paddle may calculate an applicable prorated amount when an upgrade occurs during an existing billing period.

Upgrading a plan does not automatically enable optional PPE features. Features that require an owner to turn them on, configure them, or opt into them remain under the owner’s control.

Temporary Founder, beta, promotional, or other valid access may continue to provide a higher effective level of access while that entitlement remains active.

7. Downgrades

A downgrade to a lower paid plan is generally scheduled to take effect at the end of the current paid billing period.

Until that time, the current paid plan remains available.

When the downgrade takes effect:

PPE may preserve settings from higher-tier features so they can become active again if the account later returns to a qualifying plan.

8. Cancellation

You may cancel a paid subscription through the available PPE billing controls.

Unless otherwise stated at the time of purchase, cancelling a subscription stops future renewal but does not immediately terminate access that has already been paid for.

You may continue using your paid plan through the applicable paid-through date.

After paid access ends, the account will generally move to the free Team Member level unless another valid entitlement, such as active beta or Founder access, remains.

Cancelling a subscription does not automatically delete your bookings, customers, invoices, team records, settings, or other business data.

9. FREEMONTH Promotion

When available to an eligible account, the FREEMONTH promotion makes the first monthly billing period of a selected paid PPE plan free: that first period is 100% discounted, so $0.00 is due for it. FREEMONTH applies once and does not repeat.

To use FREEMONTH:

  1. You choose an eligible paid PPE plan.
  2. You provide a payment method through Paddle checkout.
  3. You pay $0.00 for your first monthly billing period.
  4. At the next monthly renewal, the same selected plan renews at its normal monthly price, plus applicable tax, unless you cancel before the renewal date under the normal subscription cancellation terms.

Current base subscription prices are:

The renewal date is determined by Paddle when the subscription is created and is shown on your Plans page after checkout. PPE does not promise a fixed number of days for the free period.

If you cancel before the first paid renewal:

FREEMONTH:

PPE may modify, suspend, or discontinue promotional offers prospectively.

10. Failed Subscription Payments

If a subscription renewal payment fails, Paddle may retry the payment according to its billing procedures.

PPE may provide a temporary grace period before paid-plan access is reduced.

A single failed payment does not necessarily cause immediate loss of access.

If payment is not successfully completed after applicable retries or grace periods, the account may move to a lower or free plan while existing data remains preserved.

11. Refunds

Refund eligibility is subject to PPE’s posted Refund Policy and, where applicable, Paddle’s payment and refund procedures.

A refund of a PPE subscription payment does not necessarily require deletion of the customer’s PPE account or business data.

PPE reserves the right to adjust subscription access when a payment is fully refunded, reversed, disputed, or otherwise invalidated, subject to applicable law and payment-provider procedures.

12. Customer Payments Processed Through PPE

PPE may allow businesses to connect supported third-party payment services, including services such as Square and PayPal.

Payments made by a business’s customer for entertainment or event services are separate from the business owner’s PPE software subscription.

The entertainment business—not PPE—is the seller or service provider for those underlying event services.

Each business using PPE is responsible for its own:

PPE records and displays payment information provided through supported payment integrations but does not become the seller of the entertainment service merely by providing those tools.

13. Bookings and Customer Relationships

PPE provides tools that businesses may use to receive booking requests, accept bookings, schedule events, create invoices, collect payments, and communicate with customers.

The business using PPE is responsible for determining whether to accept or decline a booking and for fulfilling any services it agrees to provide.

PPE does not guarantee:

14. Team Members and Artist Assignments

Certain plans may provide tools for managing teams, sending event opportunities, assigning artists, tracking availability, coordinating compensation, managing documents, and communicating about events.

PPE does not determine whether a team member is an employee, independent contractor, agent, volunteer, partner, or another type of worker.

Businesses are responsible for proper worker classification and compliance with applicable employment, tax, contractor, wage, insurance, and labor laws.

15. Team Member Accounts

Artists or team members may be able to join one or more businesses using PPE without purchasing a paid business plan.

Participant-facing features may include access to assigned events, event information, document sharing, check-in, team communications, and other tools made available by the business.

Joining a team does not by itself create employment, contractor, partnership, agency, or other legal status between PPE and the participant.

16. Check-In, Location and Photo Features

Certain businesses may choose to require team members to check in for an event using device location or a photograph.

Location information displayed by PPE should be understood as location reported by the device. PPE does not guarantee that location information has been independently verified.

Device location can be affected by technical limitations, device settings, environmental conditions, inaccurate GPS information, or manipulation outside PPE’s control.

Where applicable, PPE may delete precise check-in location information and photographs after a defined retention period while retaining operational records such as check-in time, distance, accuracy, status, or confirmation that a photograph was submitted.

PPE does not continuously track a team member’s location.

17. W-9 Forms, Insurance and Business Documents

PPE may allow users to upload, maintain, or share W-9 forms, certificates of insurance, and other business documents.

Users are responsible for ensuring that documents they provide are accurate, current, legally sufficient, and appropriate for their business relationship.

PPE does not guarantee the authenticity or legal sufficiency of a document uploaded by a user.

A business may choose to require team members to maintain current insurance or other documentation before receiving certain assignments.

Any PPE badge or indicator relating to insurance reflects information and documentation supplied through the Service and should not be interpreted as an independent guarantee by PPE of the insurance carrier, coverage, authenticity, or validity of a policy.

18. User Data

You retain responsibility for the business and customer information you enter into PPE.

You authorize PPE to store, process, transmit, and use information as reasonably necessary to provide, secure, maintain, and improve the Service.

Our handling of personal information is also governed by our Privacy Policy.

You are responsible for having the rights, permissions, notices, or other legal basis necessary to upload or process information concerning customers, employees, contractors, team members, or other third parties.

19. Account and Data Preservation

PPE is designed so that changing or cancelling a subscription does not automatically erase historical business information.

Depending on the applicable feature and plan, lower-tier accounts may retain read-only access to certain previously created records or settings.

We may maintain records when reasonably necessary for:

Data handling remains subject to our Privacy Policy and applicable law.

20. Third-Party Services

PPE may integrate with independent third-party services such as:

Those third parties may have their own terms, policies, availability, and privacy practices.

PPE is not responsible for outages, errors, policy changes, payment decisions, service interruptions, or conduct of independent third-party providers outside our reasonable control.

21. Acceptable Use

You may not:

We may restrict or suspend access where reasonably necessary to protect PPE, our users, payment providers, or third parties.

22. Intellectual Property

The Pro Party Entertainment software, user interface, branding, documentation, designs, content, and related proprietary materials are owned by or licensed to RAY ACQ LLC and are protected by applicable intellectual-property laws.

Your account or subscription provides a limited, nonexclusive, nontransferable right to use PPE for permitted purposes while you remain authorized to access the Service.

No ownership interest in the PPE software or intellectual property is transferred to you.

23. Service Availability

We work to keep PPE available and reliable, but we do not guarantee uninterrupted or error-free operation.

The Service may occasionally be unavailable because of:

We may modify, improve, replace, or discontinue portions of the Service as PPE develops.

24. Disclaimer of Warranties

To the maximum extent permitted by applicable law, PPE is provided on an “as is” and “as available” basis.

We do not guarantee that PPE will:

Nothing in these Terms excludes rights or warranties that cannot legally be excluded.

25. Limitation of Liability

To the maximum extent permitted by applicable law, RAY ACQ LLC and its owners, officers, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising out of or relating to use of PPE.

This may include losses arising from:

Nothing in these Terms limits liability where limitation is prohibited by applicable law.

26. Suspension or Termination

You may stop using PPE at any time.

We may suspend or terminate access when reasonably necessary because of:

Where appropriate, we may provide notice or an opportunity to correct the issue.

Business account closure: business owners may request account closure through PPE or by emailing support@propartyentertainment.com. Closure may require first resolving active subscriptions, upcoming bookings, payments, refunds or disputes. Closing an account does not automatically delete records PPE must reasonably retain for accounting, legal, security, dispute-resolution or shared event-history purposes. Team members keep their own independent PPE accounts.

27. Changes to These Terms

We may update these Terms from time to time as PPE develops or as legal, business, technical, or payment requirements change.

If a change is material, we may provide notice through PPE, by email, through our website, or by another reasonable method.

The Effective Date shown at the beginning of these Terms identifies the current version.

28. Governing Law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law principles, except where applicable consumer law requires otherwise.
